Ads Management Agreement

1. Parties

This Agreement is between the Service Provider – Webb Marketing (“Provider”) and the Client – You / The business you represent (“Client”).

2. Services Provided

The Provider agrees to deliver digital marketing services, which may include:

  • Set up and/or management of Ad campaigns, including:
    – Search Campaigns, Performance Max Campaigns, Display, Remarketing, Local, and Shopping campaigns (as relevant)
    – Creation and refinement of ad copy and creative assets (as relevant)
    – Ongoing optimisation of keywords, targeting, ad groups, and bids 
    – Implementation and management of conversion tracking
    – Audience Targeting and Testing
    – Reporting of campaign performance when requested 
    – Regular addition of negative keywords to block irrelevant traffic 
  • Ongoing SEO consultation and support (if included in the scope)
  • Campaign performance review calls/meetings as agreed

3. Term & Renewal

  • This Agreement operates on a rolling monthly basis unless otherwise specified in writing.
  • Either party may cancel the Agreement by providing 30 days’ written notice.

4. Fees & Payment

Fees for services will be agreed separately and confirmed in writing prior to campaign launch.

The advertising budget is paid directly by the Client via the Client’s own Ads account.

Payment for Provider services is due in advance of each campaign period, unless otherwise agreed.

Where campaigns have been created but are not set live during the first month (whether due to client approval or external factors), the setup work will still be deemed complete. Accordingly, the agreed monthly invoice for this period remains payable in full.

The first month of service is primarily dedicated to campaign setup and data collection. During this period, campaigns enter a learning phase, during which data is gathered. Optimisation activities will typically commence after month one.

5. Client Responsibilities

The Client agrees to:

  • Provide accurate business information and timely access to relevant accounts (Google Ads, Meta Business Suite, Google Analytics, website, etc.)
  • Fund advertising spend directly with the advertising platform
  • Respond promptly to requests for information needed to manage campaigns
  • Payment of invoices within 7 days of receipt

6. Provider Responsibilities

The Provider agrees to:

  • Use reasonable skill and care in managing digital campaigns
  • Optimise campaigns to help improve lead generation
  • Be available for scheduled review calls/meetings as agreed
  • Supply performance reports and insights when requested

7. Results Disclaimer

  • The Provider does not guarantee specific results (e.g., lead volume, conversion volume, sales, or revenue, etc).
  • Performance depends on factors outside the Provider’s control, including market conditions, competition, and the Client’s ability to convert leads.

8. Confidentiality & Intellectual Property

  • The Provider will maintain confidentiality of all Client data and strategies.
  • Ownership of creative assets and ad copy produced under this Agreement will be as agreed upon and documented; the default is that assets created by the Provider remain the Property of the Provider until all fees are paid.

9. Account Access and Handover

  • Upon termination, the Client retains ownership and access to their Ads account.
  • The Provider will ensure a fair and secure handover of campaign documentation and assets.

10. Exclusions

  • Services not explicitly agreed upon, such as website content creation, design, or technical site development, are excluded unless specifically stated otherwise.

11. Dispute Resolution

  • Any disputes arising under this Agreement shall, in the first instance, be resolved through discussion, and if unresolved, via mediation.

12. Liability

  • The Provider shall not be liable for indirect or consequential losses (including loss of profit).
  • Maximum liability is limited to the total service fees paid in the 30 days before any claim.

13. Governing Law

This Agreement is governed by the laws of England, Wales & Scotland

By agreeing to work with Webb Marketing Services Ltd, you also agree to the terms and conditions and privacy policies for the corresponding advertising platform’s that your business is using.
